The Listing Rules have been subject to constant scrutiny by the Stock Exchange and the market for the need of amendment to keep abreast of the latest market developments. Recently, the Stock Exchange rolled out the Listing Rules amendments as to treasury shares, trading arrangements during adverse weather conditions, updates on the corporate governance standards and further expansion of the paperless regime. During this seminar, we will go through the said amendments and discuss how these amendments may affect the market.

5.     Understanding Hong Kong's New Re-domiciliation Regime: Key Considerations for Accountants

Hong Kong's New Re-domiciliation Regime, gazetted in the Companies (Amendment) (No. 2) Bill 2024 on 20 December 2024.  The regime simplifies the previously complex and costly process of migrating foreign companies to Hong Kong while preserving their legal identity and obligations.  From eligibility criteria to documentation requirements and tax-related implications, the regime is designed to attract international businesses and promote seamless transitions to Hong Kong.

Mr. Ludwig Ng

He is an editor and contributor to the books: “Reforming Law Reform” (HKU Press 2014), “Hong Kong Corporate Insolvency Manual” (LexisNexis 2018) and “A Practical Guide to Resolving Shareholder Disputes”(LexisNexis 2023).  He has been selected as a distinguished practitioner by AsiaLaw Profiles and leading lawyer by ChambersAsia and Who’s Who Legal.

 

Ms. Angel Wong

Angel Wong is one of the members who built up the corporate finance practice of ONC Lawyers.  She specialises in initial public offerings (IPOs) and she has advised many listing applicants and sponsors in the listings on the Main Board and GEM of the Hong Kong Stock Exchange.  Angel has successfully completed more than 30 IPO projects, including the listings of H-share enterprises, red-chip companies, Hong Kong local companies and overseas enterprises, etc.

Angel is also experienced in transactional work and she leads a team to serve a number of listed companies on annual retainer basis.

 

Mr. Maxwell Chan

Maxwell is a practising solicitor in Hong Kong and a solicitor admitted in England and Wales (non-practising). Maxwell’s practice focuses on mergers and acquisitions, corporate finance, Listing Rules compliance and advising on corporate governance matters. Maxwell is currently the named company secretary of a listed company and acts as retainer lawyer of more than 20 listed companies advising them on the Listing Rules, securities laws and corporate laws matters.

 

Ms. Elaine Ho

Elaine Ho graduated from the University of Hong Kong with a degree in Electrical and Electronic Engineering and a master degree in Engineering (Computer and Information Technology) and obtained a Graduate Diploma in Law (CPE) and a Bachelor of Laws from BPP University Law School (London).

Elaine focuses her practice on corporate and commercial matters including merger and acquisition, private equity and also cross-border corporate transactions. She also has experience on the formation and ongoing management of private investment funds and has worked with private equity funds and portfolio companies in their investments, acquisitions and divestments.

 

Mr. Henry Kwong

Senior Tax Advisor

Henry Kwong’s practice focuses on tax advisory and compliance, covering Hong Kong, China and international taxation, as well as transfer pricing to Hong Kong listed entities and multi-national corporations. He was the prize winner in the International Tax and Advanced Taxation Practice of Certified Tax Adviser (CTA) Qualifying Examination.

Henry first started his career in a Big 4 CPA firm and later became the Tax Partner of sizable CPA firm in Hong Kong. During the period, Henry led a team of around 20 staff members and developed the China Tax and Transfer Pricing Practices for the firm.
