The Consultation paper combined several proposed amendments to the Listing Rules which will have substantial impacts on INEDs and we would like to hear your views on various aspects including, but not limited to following:

- Improve board effectiveness by designation of Lead INED and various other proposals

- Hard cap on overboarding (i.e. an INED must not concurrently hold more than six listed issuer directorships)

- Hard cap on the tenure of Long Serving INED (longer than 9 years).  Long Serving INEDs will be allowed to serve again as an INED on the board of the same issuer upon completion of a two-year cooling-off period.

- The duration of the proposed transition periods (3 years) for overboarding INEDs and phasing out Long Serving INEDs.  Any thoughts for a longer period.

- Various other enhancements to the Corporate Governance Code.

This is a good opportunity for us to contribute to the consultation process of Hong Kong's listing regime.  Please come to participate in the forum to voice your concerns and insights.  We will summarize the feedback and response to the consultation with a deadline of 16th August 2024.
